This document is an electronic record in terms of the Information Technology Act, 2000 and is published in accordance with the provisions of Rule 3 of the Information Technology (Intermediaries Guidelines) Rules, 2011 that require publishing the rules and regulations, privacy policy, and Terms of Use for access or usage of the One Point Buy marketplace platform https://onepointbuy.com/  (hereinafter referred to as “Platform”).

The Platform is owned by One Point Buy Private Limited, having its registered office at 932, 9th Floor, DLF Cybercity, Chandaka Industrial Estate, Patia, Bhubaneswar, Odisha, India 751024.

The following terms and conditions (“Terms of Use”) as they apply to One Point Buy, including the applicable policies that are incorporated herein by reference, govern your use of One Point Buy and its services and tools. You will enter into a contract with One Point Buy Designs Private Limited, the platform’s owner, just by using One Point Buy. Your legal obligations to One Point Buy are set forth in these terms and conditions and the policies.
Wherever the context so requires, “you” or “user” shall refer to any natural or legal person who has consented to become a buyer on the Platform by giving information during registration as a Registered User on the Platform. One Point Buy Designs Private Limited and its affiliates are referred to as “One Point Buy,” “We,” “Us,” and “Our.”

 The rules, guidelines, policies, terms, and conditions that apply to each service will be deemed to be incorporated into and considered a part of these Terms of Use when you use any of the services offered by us through the Platform, including but not limited to (e.g., Product Reviews, Seller Reviews). We hold the right to alter, amend, add, or remove any part of these Terms of Use at any time without giving you prior written notice. You must make sure to periodically review these terms of use for updates or changes. Use of the platform after the publishing of updates will signify your acceptance and agreement if you do so.

1. User Accounts, Passwords, and Security:

           You are in charge of protecting the privacy of your display name and password if you use the platform, and you are also accountable f                or any actions taken using those details. You agree that we have the right to permanently suspend, terminate, or restrict access to                         your platform membership if you provide false, inaccurate, out-of-date, or incomplete information.

             In addition to making sure you log out of your account at the conclusion of each session, you undertake to alert One Point Buy right                   away of any unauthorized use or account breach.

             2. Services Offered:

             Through the platform, One Point Buy offers a number of web-based services. One such service lets users buy unique goods from                         different fashion and lifestyle brands, including apparel, footwear, and accessories (collectively, “Products”). Through the platform,                     customers can purchase the products using one of the many available payment options. Specific sales policies, such as cancellation,                     exchange, and return policies, shall also apply to the sale and purchase of the products (which can be found on the Platform’s FAQ tab               and are all incorporated here by reference).It is made clear that users must verify (by checking a box and completing a return request)               that the item being returned is unopened and still has its original tags on. If the user’s request for a return is turned down, the                                product  will be mailed back to the client if it is used, damaged, or the original tags are missing. The user will not be eligible for a                              refund    if the return request is rejected, and One Point Buy will not be liable in this situation. Additionally, the user will no longer be                  entitled to a refund if they refuse to accept the delivery of the reshipped item, and One Point Buy will have no responsibility for the                    return or refund of the reshipped item. Additionally, product-specific conditions may be added to these Terms of Use as additional                      supplements. One Point Buy does not warrant that product descriptions or other content on the platform is accurate, complete,                          reliable, current, or error-free and assumes no liability in this regard.

            3. Platform for Transaction and Communication:

In order to do their business on the platform, the users must connect and communicate with one another. Any transaction between One Point Buy’s Users cannot and will not be governed by One Point Buy in any way. Henceforward,

The only parties offering and agreeing to any commercial or contractual conditions are the buyers and the sellers. The pricing, shipping costs, payment methods, payment terms, date, period, and mode of delivery; warranties connected to products and services; and after-sale services associated with products and services are only a few examples of the commercial/contractual terms. One Point Buy has no influence over, doesn’t choose, doesn’t counsel, doesn’t participate in any way in the offering or acceptance of these commercial or contractual arrangements between the buyers and sellers.

One Point Buy makes no claims or warranties about the specifics (such as the calibre, worth, marketability, etc.) of the goods or services that are being suggested for sale, offered for sale, or being purchased on the platform.

One Point Buy is not liable for any breach or non-performance of any agreement made between buyers and sellers. One Point Buy is unable to and does not guarantee that any transaction entered into on the platform will be carried out by the concerned buyers and/or sellers.

One Point Buy will never have a right, title, or interest in the products, and it will never have any obligations or liabilities related to any agreements made between buyers and sellers.

One Point Buy just serves as a platform.

One Point Buy solely serves as a platform for users to sell and buy goods and services to a wider audience. The agreement is that the contract for the sale of any goods or services shall be a strictly bilateral transaction between the seller and the buyer and that One Point Buy is merely offering a platform for contact. One Point Buy will never have any ownership stake in the items, and neither will it be liable for any contract-related obligations or liabilities. One Point Buy disclaims responsibility for any losses or delays resulting from products that are out of stock, unavailable, or performed in an unsatisfactory or timely manner.

If the pricing for any product(s) represented on the platform was caused by a technical issue, typographical error, or incorrect product information, the seller may decide to cancel your order.

You expressly release and indemnify One Point Buy and/or any of its officers and representatives from any cost, damage, responsibility, or other consequence of any user’s conduct and waive any rights you may have in this regard under any applicable legislation. Despite its reasonable efforts in that direction, One Point Buy cannot be held liable for or exert any control over the information provided by other users that is made public on the platform.

                 4. User Conduct and Rules on the Platform:

You affirm, agree, and undertake that the following legally enforceable guidelines will be rigorously followed in how you use the platform:

                                                You must not publish, transmit, modify, host, host, display, upload, publish, transmit, update, or share any information that: blasphemous, harassing, defamatory, obscene, pornographic, paedophilic, libellous, invading another’s privacy, hateful, or racially or ethnically objectionable, disparaging, relating to or encouraging money laundering or gambling, or otherwise unlawful in any way whatsoever. It provides instructional information about illegal activities like making or purchasing illegal weapons; violating someone’s privacy; producing or distributing computer viruses; or hidden pages or images (those not linked to or from another accessible page) that contain video, pictures, or images of another person (with a minor or an adult).

                                         It attempts to gain unauthorised access to the Platform or violates the terms of authorised access to profiles, blogs, communities, account information, bulletins, friend requests, or other areas of the Platform, or it solicits passwords or other personally identifying information from other users for commercial or illegal purposes, interfering with another user’s use and enjoyment of the Platform or anyone else’s use and enjoyment of comparable services, violating any patent, trademark, or other intellectual property. It must not be false, inaccurate, or misleading in order for us to be held liable or to risk losing (in full or in part) the services of our internet service providers (“ISPs”) or other suppliers. It must also not threaten public order, cause incitement to commit any cognizable offence, prevent an investigation into an offence, or be offensive to any other country. If any of the following conditions are met, a user may be regarded as fraudulent or as having caused loss to business due to fraudulent activity:

Users reject an order’s payment.

Individuals engaged in the snatching and running of any order

Unrelated actions taken with the purpose of harming One Point Buy’s business or revenue

A user with excessive returns

repeatedly asking for money to make up for the fraudulent or used order.

Any order that meets the criteria for “Bulk Orders” or “Fraud Orders” may be cancelled by One Point Buy at any time before the product is delivered. If an order satisfies the following conditions plus any other criteria established by One Point Buy, it may be categorised as a “Bulk Order” or “Fraud Order” :

Ordered goods are intended for commercial resale rather than personal consumption.

Depending on the product category, many orders for the same goods were placed at the same address.

Orders for large quantities of the same product

Order data contains an incorrect address.

Any unethical behavior when placing the order?

No refunds will be given for promotional vouchers used to place “bulk orders.”

Any order timed to exploit a flaw or weakness in technology.

One Point Buy does not facilitate business-to-business transactions between sellers and business customers. You are advised to refrain from transacting on the platform if you intend to avail the benefits of the input tax credit.

You must refrain from using the platform for any illegal or dishonest activities that could annoy users, violate business policies, disrupt other users’ use of One Point Buy, or otherwise harm the firm.

By using several addresses and phone numbers or engaging in transactions with ulterior motives, you are forbidden from using any fraudulent e-mail addresses, impersonating anybody or anything, or otherwise misleading One Point Buy.

We even give our users the opportunity to freely communicate opinions and observations about their interest in the fashion industry on specific landing pages, including “viewing user-generated material” and/or “making comments.” You accept and agree to the practices mentioned in these “Terms of Service” and “Privacy Policies” as well as any additional terms of service imposed by One Point Buy on the Platform by accessing, reading, and/or submitting any user-generated content to any specific dedicated page on the Platform. You acknowledge and agree that you will not copy, harass, abuse, or otherwise violate any of the “Terms of Service” of the Platform when accessing, viewing, or uploading any user-generated content on these sites.

You may not access, acquire, copy, or monitor any portion of the Platform or any Content through the use of any “deep link,” “page-scrape,” “robot,” “spider,” or other automatic device, programme, algorithm, or methodology, or through the use of any similar or equivalent manual process, or in any way reproduce or get around the navigational structure or presentation of the Platform or any Content, in order to obtain or attempt to obtain any materials, documents, or information through any means not intentionally made available to you. We reserve the right to prohibit such behaviour.

You shall not attempt to gain unauthorised access to any part or feature of the Platform, or to any other systems or networks connected to the Platform, or to any server, computer, network, or to any of the services provided on or through the Platform, through hacking, password “mining,” or any other illegal means.

You are not allowed to impersonate any other person or entity, pretend to be someone else, or act on their behalf.

You must always ensure full compliance with all applicable domestic laws, rules, and regulations (including any applicable exchange control laws or regulations in force), international laws, foreign exchange laws, statutes, ordinances, and regulations (including, but not limited to, sales tax, VAT, income tax, etc.), as well as all applicable domestic rules, laws, and regulations.

You must not carry out any transactions for goods or services that are outside the terms of any applicable laws, including any current exchange control laws or regulations. You will occasionally be in charge of disseminating information about the goods or services you plan to sell. You promise that all of this information will be true and truthful in every way. You must not oversell or overemphasise the benefits of such goods or services in order to deceive other users in any way.

You are not permitted to market to or solicit the purchase of any goods or services from other platform users, including but not limited to those associated with us or those listed on the platform.

Under no circumstances shall One Point Buy be liable or responsible for any claims, losses, damages, or other consequences arising from the use or appearance of any posted content on the platform.You hereby represent and warrant that you have all necessary rights in and to any information contained in any content you provide, that no third-party proprietary or other rights are infringed upon, and that the content does not contain any libellous, tortious, or otherwise illegal material.

Please be aware that you can only purchase items from your registered account on the One Point Buy app or website using One Point Buy Credits. Orders placed on other One Point Buy accounts cannot be paid for with One Point Buy credits or transferred to the accounts, banks, wallets, etc. of any other One Point Buy users.

According to the Terms of Use, Section 4. User Conduct and Rules on the Platform, One Point Buy may unilaterally terminate your account at any time. In such circumstances, any One Point Buy credits acquired as goodwill compensation, through loyalty, referral, or promotional programmes, or through gift cards bought on other platforms, will be lost.

You are allowed to use the product and service information that has been made available on the platform for downloading, provided that you do not alter any of the information; use it only for your personal, non-commercial informational needs; do not copy it, post it on a networked computer, or broadcast it in any medium; remove any proprietary notice language from any copies of the information; and do not make any additional representations.

• Disclaimers of Warranties and Liability:

Except as otherwise specified in writing, all information, documents, software, and services included on or otherwise made accessible to you through the platform are supplied “as is” and “as available” without any express or implied representations or guarantees. Without limiting the aforementioned statement, One Point Buy does not guarantee that Platform will always be accessible, or accessible at all; or that the information on Platform is exhaustive, factual, accurate, or not deceptive.

All products sold on the platform are subject to various state laws, so if the seller is unable to deliver a product because of the effects of a particular state law, the seller will refund or credit the amount (if any) that was paid in advance for the product that was unable to be delivered to the customer. While placing an order on the platform, you must provide a working phone number. By providing us with your phone number, you give us permission to contact you by phone and/or SMS when there are any developments regarding your order, shipment, or delivery. Your personal information won’t be used to start any telemarketing calls or SMS campaigns.

• Selling:

You may list item(s) for sale on the Platform as a registered seller in accordance with the Policies, which are incorporated by reference into these Terms of Use.You must be able to legally sell the item(s) you list for sale on the platform.You must make sure that none of the things on the list violate anybody else’s intellectual property rights, trade secrets, other proprietary rights, or rights of publicity or privacy. Only text descriptions of your goods for sale, graphics, and images are permitted in listings. On the platform, each item must be listed in the relevant category. For successful order fulfilment, all stated items must be kept in stock. The item’s listing description must accurately reflect the item’s condition and not be deceptive. You undertake to return any payments you may have received from the buyer if the item description does not reflect the actual condition of the item. You agree not to list a single product on the platform in multiple quantities or under different categories. One Point Buy retains the right to remove any of your duplicate listings for the same item under different categories.

For the clothing you have purchased from us, we might offer you alterations (limited to length and waist size changes). There will be no charge for this service, and you won’t be charged anything for this modification. However, a small fee (including service tax) as stated by One Point Buy at the time of generating the alteration request will be applied as a convenience fee for pick-up and delivery of the clothing or for a tailor visit (wherever applicable).

• Communication E-Platform:

You accept, agree, and agree that One Point Buy is an online store that lets you buy any of the products featured on the platform at the current listed price. Furthermore, you accept and recognise that One Point Buy is simply a facilitator and cannot be a party to or exert any kind of control over any transactions made on One Point Buy.

• Indemnity:

You agree to defend and hold harmless One Point Buy, its owner, licensee, affiliates, subsidiaries, and group companies (as applicable), as well as each of their officers, directors, agents, and employees, from any claim or demand made by a third party or penalty imposed as a result of or arising from your violation of these Terms of Use, privacy policy, and other policies, or your violation of any law, rule, regulation, or the rights of a third party.

• Copyright, Trademark, and Restriction:

One Point Buy manages and runs the platform, and the relevant sellers sell the products. All content on the platform is covered by copyrights, trademarks, and other intellectual property rights, including pictures, graphics, audio clips, and video clips. The content on One Point Buy is only for your personal, non-commercial use.Such material may not be copied, reproduced, republished, uploaded, posted, transmitted, or distributed in any manner, including via email or other electronic methods, whether directly or indirectly. Additionally, you may not help another person to do so. modification of the materials; use of the materials on any other One-Point-Buy or networked computer environment; or use of the materials for any purpose other than personal, non-commercial use are all prohibited without the owner’s prior written consent and constitute violations of copyrights, trademarks, and other proprietary rights. For the purposes of this clause, a commercial use is any use for which you obtain payment, whether in money or another form. It is expressly stated that you will retain ownership of and be solely accountable for all content that you provide or upload when using any service, including any text, data, information, images, photographs, music, sound, video, or other material that you may upload, transmit, or store when utilising our various services. However, you agree to grant us a royalty-free, unconditional, everlasting, worldwide right to utilise any content you post for a legitimate business purpose. We reserve the right to use or reproduce any content you upload.

• Limitation of Liability:

In no event shall One Point Buy be responsible for any indirect, punitive, incidental, special, consequential damages or any other damages resulting from: the use or the inability to use the services or products; unauthorised access to or alteration of the user’s transmissions or data; breach of the conditions, representations, or warranties by the manufacturer of the products; or any other matter relating to the services, including, without limitation, damages for loss of use, data, or profits. If the One Point Buy is unavailable due to routine maintenance procedures or if access to the One Point Buy is unexpectedly suspended, One Point Buy will not be held liable. The user acknowledges and agrees that any content and/or data downloaded from One Point Buy is done at the user’s own initiative and risk, and that they are solely responsible for any harm to their mobile device or data loss resulting from such content and/or data downloads. One Point Buy’s responsibility shall be restricted to an amount equal to the value of the products you have acquired, to the fullest extent permitted by law. One Point Buy is not responsible for any disagreements or disputes between users.

• Termination:

If One Point Buy determines, in its sole and absolute discretion, that you have violated, breached, violated, abused, or unethically manipulated or exploited any term of these Terms of Service or otherwise acted unethically, One Point Buy may suspend or terminate your use of One Point Buy or any service. No matter what is said in this section, unless and until One Point Buy decides to terminate them, these Terms of Service will remain in effect.

If you or One Point Buy terminates your use of the platform or any service, One Point Buy may remove any content or other materials related to your use of the service, and One Point Buy will not be liable to you or any third party for doing so.One Point Buy, however, may keep a record of your transactions for tax or regulatory compliance reasons.

According to the Terms of Use, Section 4. User Conduct and Rules on the Platform, One Point Buy may unilaterally terminate your account at any time. In such circumstances, any One Point Buy credits acquired as goodwill compensation, through loyalty, referral, or promotional programmes, or through gift cards bought on other platforms, will be lost. One Point Buy shall have sole authority to accept returns or issue refunds to such users.

• Jurisdictional Issues/Sale in India Only:

Unless otherwise stated, the content on the platform is only presented for sale in India. One Point Buy makes no claims that the materials on the platform are suitable for use outside of India or that they are even accessible there. One Point Buy is not liable for the supply of products or refund of products ordered from other locations or countries other than India. compliance with local laws, if and to the extent local laws are applicable. Those who choose to access the platform from other locations/countries other than India do so on their own initiative.

• Governing Law:

Without regard to principles of conflict of laws, the laws of India shall govern these terms and their construction, and Bangalore courts, tribunals, fora, and other relevant authorities shall have exclusive jurisdiction over any disputes arising in connection with them. Bangalore will be the only location where disputes can be resolved.

One Point Buy uses the above dispute resolution techniques and procedures to ensure that disagreements between sellers and buyers are resolved amicably. • Disclaimer

You agree to use your best and most cautious judgement before engaging in any transactions through One Point Buy and realise that you are accessing the platform’s services and transacting at your own risk. We clearly renounce all duty and obligation in this regard and promise that we will not be held liable or responsible for the sellers’ actions or inactions or for any breach of the terms, representations, or guarantees made by the sellers or the product’s manufacturers. We will not mediate or settle any disagreements between you and the product vendors or manufacturers. Additionally, we explicitly disclaim any warranties or guarantees (express or implied) regarding the quality, suitability, accuracy, reliability, completeness, timeliness, performance, safety, merchantability, fitness for a specific purpose, or legality of the goods listed, displayed, or transacted, or the content (including product or pricing information and/or specifications) on the platform. While we have taken precautions to avoid inaccuracies in content, this website, all content, information (including the price of products), software, products, services, and related graphics are provided as is, without warranty of any kind. At no time shall One Point Buy have any right, title, or interest in the products sold or displayed on the platform, nor shall One Point Buy have any obligations or liabilities in connection with any transactions on the platform.

 Delivery-Related- The user understands and agrees that One Point Buy must be notified of any claims regarding order delivery (including non-receipt or non-delivery of order or signature verification) within 5 days of the alleged date of delivery of the product as it appears on the One Point Buy portal. In the event that you fail to notify the sender of non-receipt or non-delivery within the allotted time frame, the transaction will be assumed to have been delivered. One Point Buy disclaims any obligation or responsibility for claims relating to order non-delivery or non-receipt (including signature verification in Proof of delivery).

You acknowledge and agree that the samples are being provided to us at your sole risk. Regardless of the purchase price or maximum retail price of the sample provided by you, the amounts listed above represent One Point Buy’s entire and maximum liability as well as your only remedy in the event that the sample provided by you is lost or visibly damaged. Additionally, you acknowledge that One Point Buy’s decision in this matter shall be final and binding. Following proper verification by One Point Buy, the money will be transferred back into the bank account you provided, usually within 3 to 5 business days of the day you provided the information.

Please write to our customer service team if you are unhappy with the alterations services or need any clarification on the alterations services.

The One Point Buy Platform’s Terms of Usage and Privacy Policy apply to your use of the Alteration Services.

One Point Buy reserves the right, at its sole discretion and without prior notice, to change the terms under which the Alteration Services are provided.

• Cart Notification

You are aware that One Point Buy gives you the option to choose a product from another seller if the products you have chosen are out of stock. You are also aware that the price of the product from a different seller may vary.
